1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, digital platforms, products, and services provided by Shamba Track Limited ("Shamba Track", "we", "our", or "us"), including AgEIS (Agricultural Enterprise Intelligence System).
By registering for an account, accessing, or using ShambaTrack or AgEIS, you agree to these Terms and to our Privacy Policy. If you do not agree, you should not use the service.
Certain services made available through ShambaTrack are provided by independent third parties and may be subject to additional terms, eligibility requirements, regulatory requirements, fees, and privacy notices.
2. About ShambaTrack and AgEIS
Shamba Track Limited is an agricultural technology company.
AgEIS is agricultural enterprise-management infrastructure designed to help users plan and budget for agricultural production, manage and record farm-related payments, track expenditure against budget, and maintain structured enterprise records throughout the production cycle.
AgEIS may also enable users to access services provided by third parties, including regulated payment services and, where activated in the future, other agricultural, financial, insurance, market, supplier, or programme services.
Unless Shamba Track is separately authorised to provide a regulated service, Shamba Track is not a bank, deposit-taking institution, payment service provider, insurer, investment manager, collective investment scheme, lender, or financial adviser.
3. Eligibility and Account Registration
You must be legally capable of entering into these Terms and must satisfy any eligibility requirements applicable to the services you use.
You agree to provide accurate, complete, and current information during registration and onboarding and to keep information that can be updated through the platform current.
Certain identity details may be restricted from direct editing where changes require identity verification, regulatory review, or additional security procedures.
You must not create an account using another person's identity or provide false, misleading, fraudulent, or unauthorised information.
4. Identity Verification and KYC
Some services, particularly integrated wallet and payment services, require identity verification and Know Your Customer ("KYC") procedures.
You may be required to provide information or documents including your national identification details, images of the front and back of your identification document, a selfie or identity-verification photograph, mobile number, and other information reasonably required for onboarding or compliance.
KYC information may be transmitted to the relevant regulated service provider for verification and onboarding.
Approval, rejection, suspension, further due diligence, or other action relating to a regulated account may be determined by the relevant service provider in accordance with its legal and regulatory obligations.
You agree not to submit altered, fraudulent, misleading, or unauthorised identity documents or information.
5. Account Security
You are responsible for maintaining the confidentiality of your PIN, authentication credentials, device access, and other security information associated with your account.
You must not share your PIN or permit another person to use your account as though they were you.
You should notify Shamba Track promptly if you believe your account, device, credentials, or personal information has been compromised or used without authority.
We may require additional verification, restrict access, or take reasonable security measures where suspicious, fraudulent, unauthorised, or abnormal activity is detected or reported.
6. Farm Planning, Budgets, and Agricultural Information
AgEIS allows users to create farm plans and production budgets and may use automated or artificial-intelligence-assisted tools to help generate estimates, suggested activities, expected production, projected income, or budget items.
Farm plans, budgets, projections, estimates, suggested activities, and other planning outputs are management tools.
Agricultural outcomes can be affected by weather, pests, disease, soil conditions, water availability, input quality, labour, management decisions, market prices, market access, regulatory changes, and other factors outside Shamba Track's control.
You remain responsible for reviewing your farm plan and budget, making your own agricultural and commercial decisions, and obtaining appropriate professional advice where necessary.
7. Enterprise Records
As you use AgEIS, the platform may create and maintain records of farm plans, budgets, agricultural activities, expenditure, payments, income, transactions, and enterprise performance.
These records are intended to assist with agricultural enterprise management and may, where appropriate and authorised, support applications or participation in agricultural support programmes, financing, insurance, markets, or other services.
The existence of an enterprise record does not guarantee acceptance, funding, insurance, credit, market access, programme admission, or any other decision by a third party.
Where information originates from a third-party service provider, Shamba Track may rely on confirmations or records supplied by that provider when displaying or maintaining the corresponding enterprise record.
8. Payment and Wallet Services
ShambaTrack may provide access to integrated wallet and payment functionality as part of the agricultural enterprise-management experience.
The regulated payment infrastructure currently integrated with ShambaTrack is provided through SasaPay.
SasaPay is a product of ViewTech Limited and is authorised and regulated by the Central Bank of Kenya.
Shamba Track provides the technology and enterprise-management layer through which users may initiate payment-related actions and through which confirmed transaction information may be incorporated into their enterprise records.
Customer funds and regulated wallet and payment services are handled by the applicable licensed payment service provider.
Your use of the regulated wallet and payment service may be subject to the payment service provider's own terms and conditions, transaction limits, KYC requirements, compliance procedures, charges, service availability, and other requirements.
Where a transaction is initiated through ShambaTrack, the transaction is not treated as successfully completed merely because a request was submitted.
The final status of a regulated payment transaction depends on confirmation received through the relevant payment infrastructure.
Shamba Track may record payment requests, provider references, transaction status, charges, confirmations, and other transaction information for reconciliation, expenditure tracking, enterprise records, support, security, and audit purposes.
9. Funding Your Wallet and Receiving Money
Where wallet funding or receipt of money is available, funds may enter the regulated wallet through supported payment channels and processes made available by the payment service provider.
A payment or wallet load may originate through ShambaTrack or through a supported external payment channel.
ShambaTrack may display the transaction after it has been identified and confirmed through the payment infrastructure.
You are responsible for using the correct payment instructions, account identifiers, references, mobile numbers, or other details presented for the transaction.
Processing times and availability may depend on the payment service provider, mobile network, bank, or other participating payment infrastructure.
10. Making Payments
When making a farm-related payment through AgEIS, you are responsible for reviewing the amount, recipient, budget category, payment details, and other transaction information before confirming the payment.
You authorise the transmission of the payment instruction to the relevant payment infrastructure when you confirm a transaction.
A transaction may fail, remain pending, be delayed, be rejected, or require further review for reasons including insufficient funds, incorrect recipient information, provider limits, compliance controls, network or system availability, fraud controls, or other requirements of the payment service provider.
You should not repeatedly submit the same payment instruction where a transaction is pending or its status is uncertain.
You should first review the available transaction status or seek support to reduce the risk of duplicate payment instructions.
11. Transaction Charges and Fees
Fees or transaction charges may apply to certain ShambaTrack services, payment transactions, or third-party services.
Shamba Track may charge its own platform, service, or transaction fee for transactions initiated or services accessed through ShambaTrack. A Shamba Track fee is separate from any transaction charge, tariff, or other fee imposed by SasaPay or another third-party payment service provider.
Where a Shamba Track fee applies to a transaction, the applicable fee will be disclosed to you before you confirm the transaction. Where a payment service provider also imposes a transaction charge, that charge may be shown separately from the Shamba Track fee so that you can review the applicable charges before authorising the transaction.
By confirming a transaction after the applicable charges have been presented, you authorise the transaction together with the disclosed Shamba Track fee and any applicable third-party transaction charge.
Third-party providers may impose charges under their applicable tariffs or terms. Such charges are determined by the relevant provider and are not Shamba Track fees.
Fees, tariffs, transaction limits, and service charges may change from time to time. Where required, updated charges will be communicated or displayed through appropriate channels before they apply.
12. Transaction Records and Disputes
You should review transaction details and notify Shamba Track promptly if you identify an incorrect, unauthorised, duplicated, or unrecognised transaction associated with your ShambaTrack account.
Where a dispute concerns the regulated movement or custody of funds, resolution may require investigation or action by the relevant payment service provider, bank, mobile network operator, recipient institution, or other participant in the payment chain.
Shamba Track may assist by providing or reviewing platform records and transaction references available to it, but it cannot independently reverse, settle, or determine a regulated payment transaction where that action is controlled by another service provider.
13. Suppliers and Third-Party Market Services
ShambaTrack may introduce functionality that helps users identify, communicate with, or transact with agricultural suppliers or other third parties.
Unless expressly stated otherwise, Shamba Track is not the manufacturer, producer, seller, or provider of goods or services supplied by an independent third party and does not guarantee the quality, suitability, availability, delivery, or performance of those goods or services.
Any supplier functionality that is marked as coming soon, inactive, or unavailable does not constitute an offer of an active marketplace service.
14. Savings and Other Financial Services
ShambaTrack may display or introduce functionality that enables users to access savings, investment, insurance, credit, or other financial products provided by appropriately authorised third parties.
Unless and until a specific service is activated and the relevant provider is identified, any savings or similar feature shown as not connected, coming soon, inactive, or unavailable is informational only and does not constitute an active savings, investment, deposit, or financial product.
Where a regulated savings, investment, insurance, credit, or other financial service is introduced, that service will be provided by the relevant authorised provider and may be subject to separate terms, eligibility requirements, disclosures, risks, charges, and regulatory requirements.
Shamba Track does not calculate or promise investment returns unless expressly stated in connection with a service that Shamba Track is legally authorised to provide.
15. Agricultural Programmes and Partner Services
AgEIS may be used in connection with agricultural support programmes, development programmes, training, grants, financing, insurance, market access, or services delivered by partner organisations.
Participation in or eligibility for a partner programme is governed by the applicable programme or partner requirements.
Use of AgEIS does not by itself guarantee eligibility, selection, funding, continued participation, or any particular programme outcome.
Where a programme requires information to be shared or processed, this will be handled in accordance with applicable law, contractual arrangements, authorisations, and our Privacy Policy.
16. Acceptable Use
You must use ShambaTrack lawfully and only for legitimate purposes.
You must not:
- use the service to commit or facilitate fraud, money laundering, terrorism financing, identity theft, unlawful transactions, deception, abuse, or other illegal activity;
- interfere with the security, integrity, availability, or operation of the platform;
- attempt to gain unauthorised access to accounts, systems, APIs, or data;
- introduce malicious code;
- manipulate transaction records;
- impersonate another person;
- misuse the service in a manner that may harm Shamba Track, another user, a service provider, or a third party.
17. Suspension, Restriction, and Termination
Access to all or part of the service may be restricted, suspended, or terminated where reasonably necessary for security, fraud prevention, legal or regulatory compliance, investigation of suspected misuse, material breach of these Terms, protection of users or service providers, or where a required third-party service is suspended or unavailable.
A regulated service provider may independently restrict, suspend, reject, or close a wallet or other regulated account in accordance with its own terms and legal obligations.
Termination of access does not automatically require deletion of records that Shamba Track or a service provider is required or permitted to retain for legal, regulatory, security, audit, fraud-prevention, dispute-resolution, or legitimate record-keeping purposes.
18. Availability and Changes to the Service
We aim to maintain reliable access to ShambaTrack but do not guarantee that every function will be continuously available, uninterrupted, error-free, or available on every device or network.
Services may be affected by maintenance, updates, internet connectivity, mobile networks, hosting infrastructure, payment providers, banks, third-party APIs, security events, force majeure events, or circumstances outside our reasonable control.
We may add, modify, suspend, replace, or discontinue features where reasonably necessary for product development, security, compliance, operational, commercial, or technical reasons.
19. Intellectual Property
The ShambaTrack and AgEIS platforms, software, designs, interfaces, branding, content created by Shamba Track, documentation, and related intellectual property are owned by or licensed to Shamba Track Limited, except where otherwise stated.
Subject to these Terms, Shamba Track grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for its intended purpose.
You may not copy, reverse engineer, reproduce, modify, distribute, sell, sublicense, exploit, or create derivative works from protected elements of the service except where permitted by law or expressly authorised by Shamba Track.
20. User Information and Content
You retain your rights in information and content that you lawfully provide to the platform, subject to the rights necessary for Shamba Track and authorised service providers to host, process, transmit, display, secure, back up, and otherwise use that information to provide the services, comply with law, and perform the activities described in our Privacy Policy.
You are responsible for ensuring that information, photographs, documents, records, and other content you provide are accurate where required and that you have the right to provide them.
21. Privacy and Data Protection
Our collection and processing of personal data is governed by the Shamba Track Limited Privacy Policy, as updated from time to time.
Shamba Track Limited is registered with the Office of the Data Protection Commissioner (ODPC) in Kenya as a Data Processor.
Where Shamba Track processes personal data on behalf of another Data Controller, such processing is subject to applicable law and the relevant contractual arrangements.
Where third-party providers independently process information for their own regulated services, their own privacy notices and legal obligations may also apply.
22. No Agricultural, Financial, or Professional Advice
Information made available through ShambaTrack, including farm plans, budgets, projections, enterprise records, market information, automated suggestions, and educational content, is provided to support enterprise management and decision-making.
Unless expressly stated otherwise, it does not constitute personalised agronomic, legal, tax, financial, investment, insurance, credit, or other professional advice.
You should obtain appropriate professional advice where your circumstances require it.
23. Disclaimers
ShambaTrack is provided on an "as available" basis, subject to applicable law.
We do not guarantee that the service will always be uninterrupted, free from errors, or suitable for every agricultural enterprise or commercial objective.
We do not guarantee agricultural yield, profitability, market price, market access, financing, insurance, programme participation, supplier performance, investment returns, or other outcomes that depend on user decisions or circumstances outside Shamba Track's reasonable control.
Nothing in these Terms excludes any right or obligation that cannot lawfully be excluded under applicable Kenyan law.
24. Limitation of Liability
To the extent permitted by applicable law, Shamba Track will not be liable for losses arising solely from circumstances outside its reasonable control, including failures of mobile networks, banks, payment service providers, third-party systems, internet connectivity, user devices, incorrect information supplied by a user, or the independent acts or omissions of third parties.
Shamba Track is not responsible for agricultural production losses, changes in market prices, weather events, crop or livestock disease, supplier failures, or business decisions merely because AgEIS was used to plan, record, or monitor the enterprise.
Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by applicable law.
25. Indemnity
To the extent permitted by law, you are responsible for losses, claims, or liabilities arising from your unlawful use of the service, fraud, deliberate misuse, infringement of another person's rights, or material breach of these Terms.
26. Communications and Electronic Records
You agree that Shamba Track may provide service-related communications electronically through the application, website, SMS, email, or other contact channels associated with your account.
Electronic transaction records, confirmations, notices, and other records generated through the platform may be retained and used for operational, support, audit, security, compliance, and evidentiary purposes, subject to applicable law.
27. Changes to These Terms
We may update these Terms to reflect changes in our services, technology, integrated providers, legal or regulatory requirements, security practices, or business operations.
Where changes are material, we will take reasonable steps to communicate them through appropriate channels.
The Effective Date or Last Updated date displayed at the beginning of these Terms will identify the current version.
Continued use of the service after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by applicable law.
Where additional consent is legally required, we will seek it.
28. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Kenya.
If you have a complaint or dispute relating to ShambaTrack, you should first contact Shamba Track so that we can attempt to investigate and resolve the matter.
Where a dispute concerns a service provided independently by a regulated third party, the third party's complaint and dispute-resolution procedures may also apply.
Nothing in these Terms prevents a party from exercising rights available under applicable Kenyan law or from referring a matter to a competent regulator, tribunal, or court where entitled to do so.
29. Severability and No Waiver
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure or delay by Shamba Track to enforce a provision of these Terms does not constitute a waiver of that provision or of any other right.
